1) About these Terms
These Terms & Conditions (“Terms”) explain the rules for accessing and using VESPA Academy and any related websites, online portals and services we provide (together, the “Services”).
These Terms are written for our primary customer type: educational organisations (such as schools, colleges and academy trusts), and their authorised staff and student users.
2) Who we are
“VESPA Academy”, “we”, “us” and “our” refers to 4Sight Education Ltd (trading as VESPA Academy).
3) Our services
The Services may include (depending on what your educational organisation has purchased):
- Coaching Portal: staff and student accounts, VESPA questionnaire tools, resources, coaching features and an admin dashboard.
- Resource Portal: resources-only access (typically staff accounts only).
- Questionnaire experiences and the generation of reports and insights (including downloadable PDFs where available).
- Resources, videos and related content made available through the Services.
- Training and student sessions (webinar and/or face-to-face), usually quoted and booked separately.
- Deep Dive Analysis reporting for larger organisations (example: Demo report).
- Higher level support packages (where agreed).
4) Users & eligibility
- Educational Organisation: the school/college/trust that purchases access and enters into an agreement with us.
- Staff Users: teachers and other authorised staff members of the Educational Organisation.
- Student Users: students authorised by the Educational Organisation, typically using school email addresses and primarily accessing at school.
If you are a Staff User or Student User, your use is authorised and supervised through your Educational Organisation. Your Educational Organisation may set additional rules for use.
5) Accounts & access
5.1 Provisioning & onboarding
Accounts are typically created by the Educational Organisation and/or VESPA Academy administrators using methods such as CSV uploads and QR-code onboarding. Users generally authenticate using a username and password. We may introduce additional sign-in methods in future (for example, single sign-on (SSO)).
5.2 Credentials & security
- Users must keep login details confidential and not share accounts.
- The Educational Organisation is responsible for maintaining appropriate access controls (e.g., removing leavers, managing staff changes).
- We may take reasonable steps to protect the Services, including suspending access where we detect abuse or security risks.
5.3 Staff account allowances (Coaching Portal)
Where the Educational Organisation purchases Coaching Portal student accounts, we provide a number of Staff User accounts equal to 5% of the purchased student account volume at no additional cost. Additional Staff User accounts above that allowance may be chargeable.
6) Fees, invoicing & renewals
6.1 Quotes, purchase orders & invoicing
- Portal access is typically purchased via a quote/estimate, then the Educational Organisation supplies a purchase order (PO) number.
- We then raise an invoice and (unless agreed otherwise) provide access shortly after invoicing.
- Invoices are payable within 30 days of the invoice date (unless agreed otherwise in writing).
6.2 Non-payment
If payment is not received within the payment period, we reserve the right to restrict or deactivate access until accounts are brought up to date.
6.3 Annual renewals (no auto-renewal)
- Portal subscriptions are generally renewed annually.
- There is no automatic renewal: we send reminders approximately 6 weeks, 3 weeks and 7 days before the renewal date.
- If we do not receive confirmation to renew, we may cancel access at the end of the current term.
6.4 Platform fee on reactivation
Initial setup may include a platform/setup cost that is not payable on standard renewals. If an account is cancelled and later reactivated after the cancellation date, that platform/setup cost may become payable again.
6.5 Academy trusts and bespoke agreements
Where an academy trust or larger organisation has negotiated bespoke terms, those agreed terms will take precedence over any conflicting parts of these Terms.
7) Support
- Standard support: email support via admin@vespa.academy. We aim to respond within 24 hours (typically business days).
- Higher tier support: where purchased, we will provide the support channel(s) and service levels described in the relevant proposal/statement of work.
8) Data protection
We take privacy and data protection seriously. Please read our Privacy Policy.
- A Data Processing Agreement (DPA) can be provided on request.
- Where we process personal data on behalf of an Educational Organisation (for example student questionnaire responses), we will do so in line with applicable data protection law and the agreements in place.
9) Acceptable use
You agree not to misuse the Services. For example, you must not:
- Attempt to gain unauthorised access to the Services, other accounts, or our systems.
- Share credentials, scrape content, or copy/download materials except as permitted for your educational use.
- Upload or introduce malware, or use the Services in a way that disrupts availability for others.
- Use the Services for unlawful purposes or in a way that infringes the rights of others.
- Reverse engineer, decompile, or attempt to derive source code from any part of the Services (except where permitted by law).
10) Intellectual property
- All VESPA Academy materials, content, software and branding are owned by or licensed to 4Sight Education Ltd.
- We grant the Educational Organisation and its authorised users a limited, non-transferable licence to access and use the Services for internal educational purposes during the subscription term.
- You may not resell, distribute publicly, or create derivative commercial products from our materials without written permission.
11) Training & student sessions
Training and student sessions (online or in person) are generally delivered under the terms of the specific quote, booking confirmation, proposal or statement of work agreed with the Educational Organisation.
12) Deep Dive analysis reports
Where purchased, Deep Dive reports provide aggregated insights and recommendations based on questionnaire data and related information provided by the Educational Organisation. Reports may include confidential information and are intended for the Educational Organisation’s internal use.
13) Availability & changes
- We aim to keep the Services available, but occasional maintenance and updates may occur.
- We may modify or improve features over time (including adding authentication methods such as SSO). Where changes materially impact your use, we will try to provide reasonable notice.
14) Disclaimers & liability
- To the extent permitted by law, the Services are provided “as is” and “as available”.
- Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited under UK law.
- Subject to the above, we are not liable for indirect or consequential losses (such as loss of profits, loss of goodwill, or business interruption).
15) Suspension & termination
- We may suspend or deactivate access where fees remain unpaid past due, or where there is misuse or a security risk.
- The Educational Organisation may request account closure/cancellation subject to any contract terms agreed.
- On termination, access to the Services may be removed. Data handling will follow our Privacy Policy and any applicable agreements (including DPAs where in place).
16) Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
